X9 helps people move things forward through simple human handoffs. These Terms of Service (“Terms”) govern your access to and use of X9 products and websites operated by Happy When You Are Happy Ltda. (“X9”, “we”, “us”), including the X9 mobile app (Android and iOS), x9.app (including our early-access waitlist), do.x9.app (shared task links), qr.x9.app (QR reporting), and related services (collectively, the “Service”).
By using the Service, you agree to these Terms and our Privacy notice. If you do not agree, do not use the Service. These Terms are written in plain language. They are not legal advice.
1. The short version
- X9 is a coordination tool for tasks, buckets, shared links, and reports — not employment, legal, medical, or emergency services.
- You sign in with a verified phone number and are responsible for your account and the content you share.
- If you create buckets, publish QR codes, or assign work, you are responsible for who can participate and what they see.
- Optional AI suggestions may be wrong — review them before saving.
- We may change features, limits, or pricing as X9 evolves, with notice where required.
- Disputes are generally governed by Brazilian law, subject to mandatory consumer protections where you live.
2. Who we are
The Service is operated by Happy When You Are Happy Ltda. Company site: hwyah.com. Questions about these Terms: support@x9.app. Legal notices: legal@x9.app (or support@x9.app until a dedicated legal inbox is active).
3. The Service
X9 helps you capture real-world work as tasks, organise it in buckets, assign it to yourself or others, and follow up until it moves. Depending on how you use X9, the Service may include photos, voice notes, files, location context, contacts-based assignment, push notifications, shared task links, QR-based reporting, web flows for people without the app, and optional AI-assisted drafting.
We may add, change, limit, or remove features as we improve the product. We do not guarantee that any particular feature will remain available, except where applicable law requires otherwise.
X9 provides software tooling. We are not a party to agreements between you and people you assign work to, invite into buckets, or collect reports from. We do not supervise, employ, or guarantee the conduct of users.
4. Eligibility and accounts
- You must be old enough to form a binding contract and use phone-based authentication in your jurisdiction. X9 is not directed to children under 13 (or the minimum age required in your country).
- You sign in with a verified mobile phone number through SMS one-time codes (and related verification such as reCAPTCHA on the marketing site). You are responsible for activity on your account and for keeping access to that number secure.
- You must provide accurate information and must not impersonate others or create accounts for abusive, fraudulent, or unlawful purposes.
- You may not share your account credentials or let others use your account except as part of normal device use you control.
5. Your content
You retain ownership of content you submit to X9, including task text, comments, photos, audio, videos, files, and reports (“Your Content”).
You grant X9 a limited, worldwide, non-exclusive licence to host, store, process, transmit, display, and otherwise use Your Content solely to operate, secure, and improve the Service — including showing tasks, attachments, and activity to people you assign, invite, or share with, and to bucket owners or reviewers who need access to manage a workflow.
You represent that you have the rights needed to submit Your Content and to grant this licence, and that Your Content does not violate these Terms or applicable law.
6. Buckets, shared workflows, and organisations
X9 supports personal use and shared workflows. A person, team, building, community, or organisation may create buckets, invite participants, assign tasks, publish QR codes, or configure review flows.
- If you create or manage a bucket or QR workflow, you are responsible for configuring access appropriately, informing participants what information will be collected, and complying with laws that apply to your use case.
- If you participate in someone else’s workflow, you understand that relevant task, report, comment, attachment, or location information may be visible to the owner and other authorised participants.
- X9 may provide moderation, review queues, or status tools, but bucket owners remain responsible for decisions about what enters their workflow.
7. Shared links, do.x9.app, and QR reports
- On do.x9.app, someone opening a task link may sign in with a phone number or use a limited anonymous session to accept, reject, comment on, submit proof for, or complete a task you initiated. Their use of that flow is also governed by these Terms.
- On qr.x9.app, people may submit reports into a bucket without installing the app. Submissions may be held for owner review before entering a workflow. Optional follow-up links may let submitters check status.
- Shared links and QR codes can be forwarded beyond your intended audience. Use access settings, moderation, and sharing practices appropriate to your context.
- If you submit information through a link or QR code, only include information relevant to that task or report.
8. Acceptable use
You must use the Service lawfully and respectfully. You must not:
- Harass, threaten, defame, or abuse others.
- Upload unlawful content or content that infringes intellectual property or privacy rights.
- Process sensitive categories of data you are not authorised to handle (for example health, financial, or children’s data) unless you have a lawful basis and appropriate safeguards.
- Probe, disrupt, or circumvent our systems or security, scrape at scale, upload malware, or send spam through shared links or QR flows.
- Misrepresent your identity or affiliation, or use the Service for fraud or deceptive practices.
- Use the Service for emergency response, life-safety decisions, or situations requiring immediate professional intervention.
We may investigate misuse and suspend or terminate access if you breach these Terms or create risk for X9, other users, or third parties.
9. Optional AI assistance
X9 may offer optional AI-assisted features, such as turning a voice note into a suggested task title or description. AI output may be incomplete or inaccurate. You are responsible for reviewing, editing, or discarding suggestions before saving or acting on them.
Do not rely on AI suggestions for legal, medical, financial, safety, or compliance decisions.
10. Marketing site and early access
The x9.app marketing site provides information about X9. Joining our early-access waitlist requires a verified mobile number and your separate consent if you want SMS or WhatsApp messages about early access and invitations.
- Joining the waitlist does not guarantee admission, timing, or a particular feature set.
- We may onboard users in batches and change limits, pricing, or features before or after general availability.
- Early-access participants may receive features at no charge during an early-access window; commercial terms may apply later with notice where required.
- Marketing messages are sent only according to your consent choices and applicable law. You can opt out of marketing messages using the method provided in the message or by contacting support@x9.app.
11. Third-party services
The Service relies on third parties to function, including Google Firebase, Google Maps, Google Gemini (for optional AI features), Google reCAPTCHA (for phone verification on the marketing site), messaging platforms you use to share links, and app stores that distribute the mobile app. Your use of those services may also be subject to their terms and policies.
We are not responsible for third-party sites, apps, or services you open outside X9.
12. Fees and availability
X9 may offer free tiers, early-access access, or paid plans in the future. If we introduce fees, we will present applicable terms before you are charged, except where a change is permitted by law with appropriate notice.
We strive to keep the Service available, but we do not guarantee uninterrupted access. Maintenance, outages, third-party failures, or events outside our reasonable control may affect availability.
13. Intellectual property
The X9 name, logos, app design, software, and marketing materials are owned by us or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
You may share public links to our marketing pages and quote reasonable excerpts with attribution. You may not copy our brand, reverse engineer the app except where law permits, remove proprietary notices, or use our trademarks in a way that suggests endorsement without permission.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT TASKS OR REPORTS WILL BE COMPLETED, REVIEWED, OR ACTED ON BY ANY USER. AI-GENERATED SUGGESTIONS MAY BE INACCURATE — REVIEW BEFORE RELYING ON THEM.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, X9 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $100, EXCEPT WHERE LAW DOES NOT ALLOW SUCH LIMITATIONS — INCLUDING MANDATORY CONSUMER RIGHTS UNDER BRAZILIAN LAW OR THE LAWS OF YOUR COUNTRY OF RESIDENCE.
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless X9 from claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your buckets or QR workflows, or your violation of these Terms or applicable law. This section does not apply to the extent a claim results from X9’s intentional misconduct or gross negligence where such limitation is not permitted by law.
17. Suspension, termination, and account deletion
You may stop using the Service at any time. You may request account deletion by contacting privacy@x9.app or support@x9.app. Where available, you may also delete your account from in-app settings.
We may suspend or terminate your access if you violate these Terms, create risk for others, or if we discontinue the Service with reasonable notice where practicable. Some information may remain visible in shared workflows or backups as described in our Privacy notice.
18. Governing law and disputes
These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules, except where mandatory consumer protections in your country require otherwise.
Before filing a formal claim, please contact us at support@x9.app so we can try to resolve the issue informally. Subject to mandatory consumer rights, courts in São Paulo, Brazil have exclusive jurisdiction over disputes we do not resolve informally, unless your local law gives you the right to bring claims in your home jurisdiction.
19. Changes to these Terms
We may update these Terms as X9 evolves. The “Last updated” date at the top shows the current version. If we make material changes, we will provide reasonable notice through the Service, this page, or (for early-access contacts) by SMS, WhatsApp, or email where we have your contact information. Continued use after changes take effect constitutes acceptance where permitted by law.
